1. Agreement to Terms

By accessing or using the Forensic Deal Screener (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Conduit Catalyst LLC ("Company," "we," "us," or "our"), a limited liability company registered in Mississippi.

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

The Forensic Deal Screener is an educational software tool designed to help users identify potential financial risks in business acquisition opportunities by analyzing user-provided data points.

What the Service Does:

• Analyzes 12 financial data points provided by the user
• Flags potential red flags based on industry benchmarks and forensic analysis patterns
• Generates a preliminary screening report with risk assessments
• Provides educational insights about common deal structure issues

What the Service Does NOT Do:

• Provide certified appraisals or valuations
• Offer financial, legal, tax, or investment advice
• Replace Quality of Earnings (QoE) validation by a licensed CPA
• Verify the accuracy of source documents (CIMs, financial statements, etc.)
• Guarantee investment outcomes or business performance

3. Scope and Limitations of Analysis

Analysis Is Limited To:

• The 12 data points you manually enter into the tool
• Pattern recognition based on training data from historical deal scenarios
• Industry benchmark comparisons (where applicable)
• Preliminary risk identification for further investigation

Analysis Does NOT Include:

• Verification of bank statements, tax returns, or financial records
• Review of customer contracts, vendor agreements, or legal documents
• Assessment of legal compliance, regulatory issues, or intellectual property
• Evaluation of management competence, cultural fit, or operational risks
• Physical inspection of inventory, equipment, or real estate
• Market research, competitive analysis, or growth projections

4. User Responsibilities

By using the Service, you agree to:

1. Provide Accurate Data: You are solely responsible for the accuracy of the 12 data points you enter. Garbage in, garbage out.
2. Verify All Findings: You must independently verify all findings with licensed professionals (CPAs, attorneys, business brokers) before making investment decisions.
3. Conduct Full Due Diligence: This tool is a preliminary screening step, NOT a replacement for comprehensive due diligence, including Quality of Earnings (QoE) validation.
4. Respect Confidentiality: If you have signed a Non-Disclosure Agreement (NDA) with a seller or broker, you are responsible for ensuring your use of this tool does not violate that agreement. We recommend using anonymized data (e.g., "Project Alpha" instead of actual business names).
5. Understand the Risks: Business acquisitions carry substantial financial risk. You assume all liability for investment decisions made using or influenced by this Service.

5. No Warranties or Guarantees

The Service is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, either express or implied, including but not limited to:

• Warranties of accuracy, reliability, or completeness of analysis
• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties that results will lead to profitable investment outcomes

Industry benchmarks and risk assessments are estimates only. They may not apply to your specific business, market, or situation. Always verify findings with industry-specific experts.

6. Limitation of Liability

In no event shall Conduit Catalyst LLC, its owners, employees, contractors, or affiliates be liable for:

• Investment Losses: Any loss of capital, profits, or business opportunities resulting from investment decisions made using the Service
• Missed Opportunities: Deals you passed on based on the Service's analysis that turned out to be profitable
• Indirect Damages: Consequential, incidental, special, or punitive damages of any kind
• Third-Party Claims: Legal claims by sellers, brokers, lenders, or other parties related to your use of the Service
• Data Accuracy: Errors in analysis resulting from inaccurate, incomplete, or misleading input data
• Technical Issues: Service interruptions, data loss, or software bugs

Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages, so some of the above limitations may not apply to you.

7. Indemnification

You agree to indemnify, defend, and hold harmless Conduit Catalyst LLC and its officers, directors, members, employees, contractors, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights (including NDAs)
• Any investment decisions you make based on the Service's outputs
• Any inaccurate or fraudulent data you provide to the Service

8. Refund Policy

We offer a 30-Day Money-Back Guarantee under the following terms:

Eligible for Refund:

• You purchased the Service within the last 30 days
• You email hello@revmri.xyz with your license code and purchase receipt
• You provide brief feedback on why the Service did not meet your expectations (optional but appreciated)

Refund Process:

• Refunds are processed within 2-3 business days of approval
• Refunds are issued to the original payment method (Stripe, PayPal, etc.)
• Your access to the Service will be revoked upon refund

Not Eligible for Refund:

• Requests made more than 30 days after purchase
• Claims that the Service did not "guarantee" a profitable deal (we make no such guarantees)
• Dissatisfaction with investment outcomes (you assume all investment risk)

We reserve the right to deny refund requests that appear fraudulent or abusive (e.g., requesting refunds after running 50+ analyses).

9. Data Privacy and Security

We take your privacy seriously. Please review our Privacy Policy for details on how we collect, use, and protect your data.

Key Points:

• No CIM Storage: We do not store Confidential Information Memorandums (CIMs) or source documents. The Service processes your 12 data points in real-time and does not retain them after analysis.
• Minimal Data Collection: We collect only what is necessary: email address, license code, and payment information (processed by Stripe).
• No Sale of Data: We do not sell, rent, or share your personal information with third parties for marketing purposes.

10. Intellectual Property

All content, features, and functionality of the Service (including but not limited to analysis algorithms, report templates, and software code) are owned by Conduit Catalyst LLC and are protected by copyright, trademark, and other intellectual property laws.

You May:

• Use the Service for personal or internal business purposes
• Download or print your analysis reports for your own records

You May NOT:

• Reverse-engineer, decompile, or attempt to extract the source code
• Resell, redistribute, or white-label the Service without written permission
• Copy, modify, or create derivative works based on the Service
• Remove or alter any proprietary notices (copyright, trademark, etc.)

11. Modifications to Service and Terms

We reserve the right to:

• Modify, suspend, or discontinue the Service at any time without notice
• Update these Terms of Service at any time (we will post the updated Terms with a new "Last Updated" date)
• Change pricing, features, or subscription plans (changes will not affect existing purchases retroactively)

Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, if:

• You violate these Terms
• You engage in fraudulent, abusive, or illegal activity
• You attempt to harm or disrupt the Service (hacking, DDoS attacks, etc.)
• We discontinue the Service entirely

Upon termination, your license to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.

13. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Mississippi, United States, without regard to its conflict of law provisions.

Jurisdiction: You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the state or federal courts located in Mississippi. You waive any objection to venue in such courts.

Dispute Resolution: Before filing any lawsuit, you agree to first contact us at hello@revmri.xyz to attempt to resolve the dispute informally. Most disputes can be resolved quickly and amicably through direct communication.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Conduit Catalyst LLC regarding the Service and supersede any prior agreements, understandings, or representations, whether written or oral.
